These Terms form a binding legal agreement between you and the FileTools Platform Team ("FileTools", "we", "us"). By using the Service you confirm that you are at least 13 years old and have the legal capacity to enter into this agreement. Use on behalf of a company or organisation constitutes acceptance by that entity.

2. License Grant

Subject to these Terms, FileTools grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes. This licence does not include the right to resell or commercially exploit any part of the Service, or to scrape, copy, or redistribute our tools, content, or interface.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Upload, process, or distribute unlawful, infringing, defamatory, or malicious content.
• Attempt to reverse-engineer, decompile, or interfere with the Service or its security features.
• Use automated tools (bots, scrapers, crawlers) to access the Service at a rate that disrupts normal operation.
• Circumvent any access controls, rate limits, or authentication mechanisms.
• Use the Service to process content that violates third-party intellectual property rights.

4. Intellectual Property

All content, trademarks, code, and branding on FileTools are owned by or licensed to us and are protected by applicable intellectual property laws. You retain ownership of any files you upload. By uploading files for processing, you grant us a temporary, limited licence solely to perform the requested operation. We claim no intellectual property rights over your content.

5. DMCA and Copyright

FileTools respects intellectual property rights. If you believe content accessible via our Service infringes your copyright, please send a DMCA notice to legal@filetools.me with: (i) a description of the copyrighted work, (ii) the URL of the allegedly infringing material, (iii) your contact information, and (iv) a statement of good faith belief and accuracy under penalty of perjury.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FILETOOLS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED USD $10.

8. Service Availability

We strive for high availability but cannot guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time without notice. We are not liable for any interruption or discontinuation of the Service.

9. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law. Any disputes shall first be attempted to be resolved informally by contacting us at legal@filetools.me. If informal resolution fails, disputes shall be resolved by binding arbitration or, where not permitted, in the courts of the jurisdiction in which FileTools operates.
